{"id":6718,"date":"2023-08-03T10:33:05","date_gmt":"2023-08-03T14:33:05","guid":{"rendered":"https:\/\/perlaw.ca\/?p=6718"},"modified":"2023-08-09T10:32:52","modified_gmt":"2023-08-09T14:32:52","slug":"how-one-unfortunate-emoji-cost-a-business-owner-82200-21","status":"publish","type":"post","link":"https:\/\/perlaw.ca\/fr\/2023\/08\/03\/how-one-unfortunate-emoji-cost-a-business-owner-82200-21\/","title":{"rendered":"How one unfortunate emoji cost a business owner $82,200.21"},"content":{"rendered":"<div id=\"contentsContainer\" class=\"style-scope qowt-page\">\n<div id=\"contents\" class=\"style-scope qowt-page\">\n<p id=\"E188\" class=\"x-scope qowt-word-para-0\"><span id=\"E189\">Early in\u00a0<\/span><span id=\"E190\">June,<\/span><span id=\"E191\">\u00a0the\u00a0<\/span><span id=\"E192\">Court of King\u2019s Bench for Saskatchewan\u00a0<\/span><span id=\"E193\">made\u00a0<\/span><span id=\"E194\">headlines when it\u00a0<\/span><span id=\"E195\">handed down<\/span><span id=\"E196\">\u00a0<\/span><span id=\"E197\">a<\/span><span id=\"E198\">n<\/span><span id=\"E199\">\u00a0<\/span><span id=\"E200\">$82,200.21<\/span><span id=\"E201\">\u00a0<\/span><span id=\"E202\">judgement\u00a0<\/span><span id=\"E203\">against\u00a0<\/span><span id=\"E204\">Achter Land &amp; Cattle Ltd.<\/span><span id=\"E205\">\u00a0(\u201c<\/span><span id=\"E206\">Achter<\/span><span id=\"E207\">\u201d)<\/span><span id=\"E208\">\u00a0<\/span><span id=\"E209\">f<\/span><span id=\"E210\">or the breach of a<\/span><span id=\"E211\">\u00a0flax purchase contract<\/span><span id=\"E212\">.<\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E213\">Normally,\u00a0<\/span><span id=\"E214\">one wouldn\u2019t expect\u00a0<\/span><span id=\"E215\">a failure of<\/span><span id=\"E216\">\u00a0flax\u00a0<\/span><span id=\"E217\">delivery\u00a0<\/span><span id=\"E218\">to capture the\u00a0<\/span><span id=\"E219\">spotlight, but<\/span><span id=\"E220\">\u00a0<\/span><span id=\"E221\">South West Terminal Ltd. V.\u00a0<\/span><span id=\"E222\">Achter Land &amp; Cattle Ltd.<\/span><span id=\"E223\">\u00a0(\u201c<\/span><span id=\"E224\">South West<\/span><span id=\"E225\">\u201d)<\/span><span id=\"E226\">,<\/span><span id=\"E227\">\u00a0<\/span><span id=\"E228\">had one unusual feature:<\/span><span id=\"E229\">\u00a0<\/span><span id=\"E230\">the Court held that\u00a0<\/span><span id=\"E231\">Achter\u00a0<\/span><span id=\"E232\">bound itself to a contract by texting a\u00a0<\/span><span id=\"E233\">thumbs-up emoji<\/span><span id=\"E234\">\u00a0to\u00a0<\/span><span id=\"E235\">S<\/span><span id=\"E236\">outh\u00a0<\/span><span id=\"E237\">W<\/span><span id=\"E238\">est\u00a0<\/span><span id=\"E239\">T<\/span><span id=\"E240\">erminal Ltd. (\u201c<\/span><span id=\"E241\">SWT<\/span><span id=\"E242\">\u201d)<\/span><span id=\"E243\">.<\/span><\/p>\n<p id=\"E244\" class=\"x-scope qowt-word-para-0\"><span id=\"E245\">The judgement\u00a0<\/span><span id=\"E246\">has led to concerns about\u00a0<\/span><span id=\"E247\">accidentally\u00a0<\/span><span id=\"E248\">accepting contracts<\/span><span id=\"E249\">\u00a0through the\u00a0<\/span><span id=\"E250\">flippant use of\u00a0<\/span><span id=\"E251\">emojis \u2013 but how valid is this fear?\u00a0<\/span><span id=\"E252\">This article will examine the current law of contract formation<\/span><span id=\"E253\">\u00a0and\u00a0<\/span><span id=\"E254\">how<\/span><span id=\"E255\">\u00a0<\/span><span id=\"E256\">South West\u00a0<\/span><span id=\"E257\">wi<\/span><span id=\"E258\">ll impact that law<\/span><span id=\"E259\">.<\/span><span id=\"E260\"><\/span><\/p>\n<h2 id=\"E262\" class=\"x-scope qowt-word-para-0\"><span id=\"E263\">How do courts decide that a contract has been formed?<\/span><\/h2>\n<p id=\"E264\" class=\"x-scope qowt-word-para-0\"><span id=\"E265\">At first glance, it may be of concern that Achter was bound to a contract that it\u00a0<\/span><span id=\"E266\">had never signed. However,<\/span><span id=\"E267\">\u00a0<\/span><span id=\"E268\">subject to some exceptions, a\u00a0<\/span><span id=\"E269\">signature or even a written document are not necessary<\/span><span id=\"E270\">\u00a0for a Court to find that there is a binding\u00a0<\/span><span id=\"E271\">agreement between two parties<\/span><span id=\"E272\">.<\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E272\">A binding contract will exist where\u00a0<\/span><span id=\"E273\">the\u00a0<\/span><span id=\"E274\">following\u00a0<\/span><span id=\"E275\">common law requirements are satisfied<\/span><span id=\"E276\">:<\/span><\/p>\n<ol>\n<li id=\"E277\" class=\"qowt-li-0_0 qowt-list qowt-stl-ListParagraph x-scope qowt-word-para-0\" role=\"listitem\"><span id=\"E278\">There\u00a0<\/span><span id=\"E279\">is offer and acceptance<\/span><span id=\"E280\">;<\/span><\/li>\n<li id=\"E281\" class=\"qowt-li-0_0 qowt-list qowt-stl-ListParagraph x-scope qowt-word-para-0\" role=\"listitem\"><span id=\"E282\">There is\u00a0<\/span><span id=\"E283\">certainty as to the<\/span><span id=\"E284\">\u00a0essential<\/span><span id=\"E285\">\u00a0terms of the agreement;<\/span><\/li>\n<li id=\"E286\" class=\"qowt-li-0_0 qowt-list qowt-stl-ListParagraph x-scope qowt-word-para-0\" role=\"listitem\"><span id=\"E287\">There is mutual consideration<\/span><span id=\"E288\">, meaning that both parties are receiving some<\/span><span id=\"E289\">thing<\/span><span id=\"E290\">\u00a0from the contract;<\/span><span id=\"E291\">\u00a0and<\/span><\/li>\n<li id=\"E292\" class=\"qowt-li-0_0 qowt-list qowt-stl-ListParagraph x-scope qowt-word-para-0\" role=\"listitem\"><span id=\"E293\">There is\u00a0<\/span><span id=\"E294\">an intention by the parties to create<\/span><span id=\"E295\">\u00a0a\u00a0<\/span><span id=\"E296\">legal relationship<\/span><span id=\"E297\">.<\/span><\/li>\n<\/ol>\n<p id=\"E298\" class=\"x-scope qowt-word-para-0\"><span id=\"E299\">According to common law,\u00a0<\/span><span id=\"E300\">a contract does not come into existence until there has been a definite offer and an unconditional acceptance of the offer communicated to the offeror.<\/span><span id=\"E301\" class=\"qowt-stl-EndnoteReference\"><\/span><span id=\"E303\"><\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E304\">An acceptance may be communicated in any number of ways<\/span><span id=\"E305\">\u00a0through\u00a0<\/span><span id=\"E306\">other means such as a\u00a0<\/span><span id=\"E307\">verbal communication\u00a0<\/span><span id=\"E308\">of acceptance\u00a0<\/span><span id=\"E309\">or through a party<\/span><span id=\"E310\">\u2019s conduct.<\/span><\/p>\n<p id=\"E311\" class=\"x-scope qowt-word-para-0\"><span id=\"E312\">The test for whether an offer has been accepted\u00a0<\/span><span id=\"E313\">is not whether a party intended to accept the offer. Rather, the test\u00a0<\/span><span id=\"E314\">is whether an objective third party<\/span><span id=\"E315\">\u00a0in the position of the offeror would conclude<\/span><span id=\"E316\">\u00a0that their offer had been accepted by the other party.<\/span><span id=\"E317\" class=\"qowt-stl-EndnoteReference\"><\/span><span id=\"E319\"><\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E320\">In rare cases<\/span><span id=\"E321\">, a party\u00a0<\/span><span id=\"E322\">may<\/span><span id=\"E323\">\u00a0accidentally accept and be bound by a contract if the<\/span><span id=\"E324\">ir conduct was such that<\/span><span id=\"E325\">\u00a0the<\/span><span id=\"E326\">\u00a0offering party could reasonably conclude that they have accepted the contract.<\/span><\/p>\n<h2 id=\"E328\" class=\"x-scope qowt-word-para-1\"><span id=\"E329\">Will<\/span><span id=\"E330\">\u00a0<\/span><span id=\"E331\">South West\u00a0<\/span><span id=\"E332\">change the way contracts are formed?<\/span><\/h2>\n<p id=\"E333\" class=\"x-scope qowt-word-para-0\"><span id=\"E334\">While\u00a0<\/span><span id=\"E335\">the use of an emoji to communicate acceptance is a novel issue<\/span><span id=\"E336\">, under Canadian<\/span><span id=\"E337\">\u00a0common law there is no principled reason why an emoji could not\u00a0<\/span><span id=\"E338\">be<\/span><span id=\"E339\">\u00a0used to<\/span><span id=\"E340\">\u00a0<\/span><span id=\"E341\">communicate acceptance<\/span><span id=\"E342\">\u00a0<\/span><span id=\"E343\">in\u00a0<\/span>the right context.<\/p>\n<\/div>\n<\/div>\n<div id=\"contentsContainer\" class=\"style-scope qowt-page\">\n<div id=\"contents\" class=\"style-scope qowt-page\">\n<p id=\"E344\" class=\"x-scope qowt-word-para-0\"><span id=\"E345\">SWT<\/span><span id=\"E346\">\u00a0had texted a photo of the contract to Achter accompanied by the words \u201cplease confirm flax contract\u201d<\/span><span id=\"E347\">, to which Achter responded with the impugned thumbs up emoji.<\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E347\">Achter<\/span><span id=\"E348\">\u00a0argued\u00a0<\/span><span id=\"E349\">that the<\/span><span id=\"E350\">ir\u00a0<\/span><span id=\"E351\">inten<\/span><span id=\"E353\">t<\/span><span id=\"E354\">\u00a0in sending the emoji was not to communicate acceptance, but rather to communicate\u00a0<\/span><span id=\"E355\">receipt of<\/span><span id=\"E356\">\u00a0the contract.<\/span><span id=\"E357\" class=\"qowt-stl-EndnoteReference\"><\/span><span id=\"E359\">\u00a0<\/span><span id=\"E360\">However, the question i<\/span><span id=\"E361\">s not what Achter intended, but rather whether\u00a0<\/span><span id=\"E362\">SWT<\/span><span id=\"E363\">\u00a0could reasonably assume that the emoji was meant as an acceptance.<\/span><\/p>\n<p id=\"E364\" class=\"x-scope qowt-word-para-0\"><span id=\"E365\">Critically,<\/span><span id=\"E366\">\u00a0the parties had a history of dealing with one another<\/span><span id=\"E367\">\u00a0through similar text exchanges. When the Court considered\u00a0<\/span><span id=\"E368\">these\u00a0<\/span><span id=\"E369\">previous exchanges, a clear pattern emerged where\u00a0<\/span><span id=\"E371\">SWT<\/span><span id=\"E373\">\u00a0would\u00a0<\/span><span id=\"E374\">text a photo of a contract and ask Achter to confirm,\u00a0<\/span><span id=\"E375\">and<\/span><span id=\"E376\">\u00a0Achter would respond with something to the effect of \u201cLooks good\u201d,\u00a0<\/span><span id=\"E377\">\u201cOk\u201d, or \u201cYup\u201d.<\/span><span id=\"E378\" class=\"qowt-stl-EndnoteReference\"><\/span><span id=\"E380\"><\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E381\">Each time<\/span><span id=\"E382\">, Achter performed its obligations with no further indication of acceptance.\u00a0<\/span><span id=\"E383\">In this context, the Court concluded that it was objectively reasonable for\u00a0<\/span><span id=\"E384\">SWT<\/span><span id=\"E385\">\u00a0to interpret a thumbs up emoji as acceptance of a contract.<\/span><\/p>\n<p id=\"E386\" class=\"x-scope qowt-word-para-0\"><span id=\"E388\">South West<\/span><span id=\"E390\">\u00a0<\/span><span id=\"E391\">may feature a novel dispute, but that dispute was resolved\u00a0<\/span><span id=\"E392\">through existing<\/span><span id=\"E393\">\u00a0<\/span><span id=\"E394\">common law principles\u00a0<\/span><span id=\"E395\">relating to the\u00a0<\/span><span id=\"E396\">acceptance of contracts.<\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E397\">The case<\/span><span id=\"E398\">\u00a0serve<\/span><span id=\"E399\">s<\/span><span id=\"E400\">\u00a0as an important reminder that\u00a0<\/span><span id=\"E401\">businesses should\u00a0<\/span><span id=\"E402\">always\u00a0<\/span><span id=\"E403\">be mindful of the way that their conduct could be interpreted by\u00a0<\/span><span id=\"E404\">the<\/span><span id=\"E405\">\u00a0parties that they are negotiating with.<\/span><\/p>\n<p class=\"x-scope qowt-word-para-0\"><span id=\"E406\">Businesses in the habit of making informal or verbal agreements\u00a0<\/span><span id=\"E407\">run the risk of inadvertently\u00a0<\/span><span id=\"E408\">entering into binding agreements\u00a0<\/span><span id=\"E409\">through their conduct.<\/span><\/p>\n<\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>Early in\u00a0June,\u00a0the\u00a0Court of King\u2019s Bench for Saskatchewan\u00a0made\u00a0headlines when it\u00a0handed down\u00a0an\u00a0$82,200.21\u00a0judgement\u00a0against\u00a0Achter Land &amp; Cattle Ltd.\u00a0(\u201cAchter\u201d)\u00a0for the breach of a\u00a0flax purchase contract.
